Wolf Theiss advises CANPACK GROUP, INC. and CANPACK S.A.  as local counsel on a cross-border USD 1,088 million senior notes offering

Warsaw, 20 May 2026 – Wolf Theiss, in collaboration with Latham & Watkins, has advised CANPACK GROUP, INC. and CANPACK S.A., a global manufacturer of aluminium beverage cans and packaging solutions for the food and beverage industry, on a cross-border dual-tranche senior notes offering with an aggregate principal amount of USD 1,088 million.

The transaction comprises the issuance of USD 500 million 6.000% senior notes due 2031 and EUR 500 million 4.875% senior notes due 2032. The proceeds from the offering are intended to be used, among others, to redeem existing notes, refinance indebtedness under a bridge facility and for general corporate purposes. The notes were offered in a cross-border Rule 144A and Regulation S transaction to qualified institutional buyers in the United States and to investors outside the United States.

This high-yield bond issuance represents a significant capital markets transaction for CANPACK, further strengthening its financing platform and liquidity position. The deal also highlights continued international investor demand for European industrial issuers accessing both USD and EUR debt markets.

CANPACK Group is a leading global manufacturer of aluminium beverage cans, food and beverage packaging, glass bottles and metal closures. The group operates in 15 countries and employs approximately 8,500 people worldwide.

Working alongside Latham & Watkins – lead counsel to the issuers, the Wolf Theiss team, provided support in relation to matters of Polish, Czech and Romanian law.
