Warsaw, 16 April 2025 – Wolf Theiss, in collaboration with Mannheimer Swartling, advised Northvolt AB, a battery manufacturer and subsequently the bankruptcy estate of Northvolt Systems AB on the sale of its Systems’s Industrial division to Scania, a leading industrial group.

Established in 2018, Northvolt Systems’s Industrial focuses on the design, manufacturing and sale of scalable battery systems for the heavy industry and off-highway market segments. The business employs approximately 260 people across a production facility in Gdańsk, Poland and an R&D facility in Tomteboda, Stockholm.

The transaction was initiated by Northvolt in autumn 2024 and completed by the bankruptcy estate on 11 April 2025. It marks a key milestone for the bankruptcy estate, enabling it to optimise its asset portfolio while ensuring the continued operation of the business under new ownership.

Wolf Theiss acted as lead Corporate/M&A adviser in Poland to Northvolt Poland, in addition to acting as Polish counsel to Northvolt AB (and later to the bankruptcy estate of Northvolt Systems AB).
