Wolf Theiss advises Vestas on acquisition of Polish blade manufacturing facility from LM Wind Power

Warsaw, 24 May 2025 – Wolf Theiss advised Vestas on the acquisition of LM Wind Power Blades (Poland) sp. z o.o., a Polish blade manufacturing facility, marking a strategic expansion of Vestas’ European production footprint and supply chain to meet future demand and contribute to Europe’s growing need for secure and affordable energy.

The Polish entity forms part of LM Wind Power, a GE Vernova business. With the acquisition, Vestas will strengthen its ability to meet growing European demand for wind energy by adding local production capacity. Around 400 former LM Wind Power employees have been retained, increasing Vestas’ footprint in Poland to almost 2,000 employees.

Wolf Theiss acted as Polish legal and tax counsel to Vestas, working in close coordination with the company’s Danish counsel, Gorrissen Federspiel. The Wolf Theiss team advised on all aspects of Polish law relevant to the transaction, including the preparation of transaction documents, as well as support throughout the negotiation and signing process. In addition, the firm conducted a comprehensive legal and tax due diligence review and provided guidance on regulatory approval.

The transaction closed on 1 September 2025 and followed the agreement signed on 15 May 2025.

“Europe needs secure, affordable and sustainable energy more than ever and we’re pleased to expand our European manufacturing footprint to support wind energy’s growing role in Europe’s energy system. I want to thank LM Wind Power for their support and collaboration through the years. We’re very pleased that our respective strategic priorities have made it possible for the factory to continue operating and be part of Vestas’ continued growth in Europe.”,

Anders Nielsen, Chief Technology and Operations Officer, Vestas
