Wolf Theiss advises STADA on the acquisition of a consumer healthcare portfolio from Orifarm
Warsaw, 4 September 2026 – Wolf Theiss advised STADA, a pharmaceutical company, on its acquisition of a consumer healthcare portfolio from Orifarm, one of Europe’s largest suppliers of parallel-imported and generic pharmaceuticals. The acquisition forms part of STADA’s European growth strategy and supports Orifarm’s strategic focus on pharmaceuticals.
As part of the transaction, STADA acquired 16 established vitamins, minerals and supplements (VMS) products from Orifarm, including the Nycoplus, Apovit and Vitrum brands. The deal marks the first transaction completed under STADA’s new majority ownership by private equity investor CapVest. The acquired portfolio strengthens STADA’s presence in key European markets, particularly the Nordics, Belgium and Poland and supports the company’s continued growth ambitions.
Wolf Theiss acted as Polish counsel to STADA and advised on all Polish law aspects of the transaction. Led by Kromann Reumert, the transaction involved multiple jurisdictions across Europe, with a significant portion of the acquired portfolio’s manufacturing activities centred in Poland.
The Wolf Theiss team was led by Partner Katarzyna Wójcik-Bąkowska, supported by Associate Oliwia Kruczyńska (both Corporate/M&A), Counsel Joanna Jagiełło (Healthcare & Life Sciences) and Counsel Michał Derdak (Competition & Antitrust).
