Wolf Theiss advises Kadant Inc. on the acquisition of voestalpine BÖHLER Profil
Vienna, 2 February 2026 – Wolf Theiss acted as legal counsel to Kadant Inc. on its acquisition of voestalpine BÖHLER Profil GmbH & Co KG (“voestalpine BÖHLER Profil”), an Austrian producer of tailor‑made special profiles and high‑performance industrial knives. The transaction was announced on 29 January 2025 and is expected to close in the first quarter of 2026, subject to Austrian regulatory approvals and customary closing conditions.
Kadant Inc. is a global supplier of technologies and engineered systems that drive Sustainable Industrial Processing®. The company’s products and services support efficiency, energy optimisation and productivity in process industries. Kadant is headquartered in Westford, Massachusetts, with approximately 3,500 employees in 22 countries.
With more than 150 years of experience, voestalpine BÖHLER Profil is a trusted producer of tailor-made special profiles with complex geometries, as well as high-performance industrial knives. The company specialises in near-net-shape rolling and delivers niche solutions for demanding industrial applications. It is headquartered in Austria, with approximately 150 employees and revenue of EUR 51.5 million for the fiscal year ended 31 March 2025.
Upon closing, voestalpine BÖHLER Profil will be integrated into Kadant’s Industrial Processing reporting segment and will operate under the name Kadant Profil GmbH & Co KG. The acquisition will complement Kadant’s existing portfolio and strengthen its position in demanding industrial markets.
Wolf Theiss advised on all Austrian legal aspects of the transaction, including legal due diligence, the negotiation of the share purchase agreement and shareholders’ agreement, the review of warranties and all regulatory matters relating to foreign direct investment and antitrust.
