Wolf Theiss advises Guala Closures S.p.A. on the acquisition of Austrian packaging company Kunststoffwerk Kremsmünster GmbH

Vienna, 21 October 2025 – Wolf Theiss advised Guala Closures S.p.A., part of Investindustrial S.A., a Luxembourg-based investment group, on the acquisition of 100% of the shares in Kunststoffwerk Kremsmünster GmbH (“KWK”), an Austrian manufacturer of plastic closures and precision dosing devices for the pharmaceutical and consumer packaging sectors. Signing took place on 8 October 2025 and closing remains subject to customary conditions.

Guala Closures is a global leader in the production of aluminium and non-refillable closures, serving the spirits, wine, beer, non-alcoholic beverage, oil and condiments sectors. With 37 production plants and 7 R&D centres across Europe, Asia and the Americas, the company operates in more than 100 countries. The acquisition of KWK marks Guala Closures’ strategic entry into the pharmaceutical packaging market.

KWK, founded in 1950 and headquartered in Kremsmünster, Austria, supplies a wide range of closure systems to international pharmaceutical and consumer goods companies. The company is recognised for its technical expertise and customised product solutions.

Wolf Theiss acted as Austrian legal counsel and advised on all matters of Austrian law, including legal due diligence, negotiation and drafting of the transaction documents, as well as merger control and regulatory clearances. Lead counsel to the client was Gatti Pavesi Bianchi Ludovichi, Italy.
