ABC Data S.A., a leader in the market of IT hardware and consumer electronics distribution in Poland and operating in a number of Central and Eastern Europe countries, was acquired by Roseville Investments for PLN 147.6 million (approx. EUR 34.7 million). ABC Data Marketing was bought for PLN 35 million (approx. EUR 8.2 million). Roseville Investments is controlled by ALSO Holdings AG.
“The goal of our client is to build the strongest ICT distribution business in the CEE region and completing this transaction was a major part of their plans,” said Dariusz Harbaty, Counsel at Wolf Theiss Warsaw, who assisted ALSO Holding AG.
In addition to Dariusz Harbaty and Peter Daszkowski, Co-Managing Partner of Wolf Theiss Warsaw, supervising the transaction, other lawyers included in the project were: Karolina Stawowska, Agnieszka Nowak-Błaszczak, Joanna Wajdzik, Anna Nowodworska, Monika Gaczkowska and Damian Majda.
Additionally, other offices from the Wolf Theiss network assisted in the transaction and provided advisory services to ALSO Holding AG, including: Austria (Guenter Bauer and Jochen Anweiler, for the required EU-level competition filing), Slovakia (Katarina Bielikova, Jozef Vircik and Dalibor Palaticky), Hungary (Janos Toth, Mark Chiovini, Peter Ihasz and Zoltan Bodog), Romania (Ileana Glodenau, Mircea Ciocirlea and Andreea Stan) and lawyers from the Czech Republic office, including Jitka Logesova in an oversight role.
