Wolf Theiss advises La Sanfermese on acquisition of Organa

WOLF THEISS acted as legal advisor to La Sanfermese, an Italian producer of sustainable food, in the acquisition of a controlling share of the Slovenian company Organa d.o.o.

At the end of November 2021, La Sanfermese SpA closed the acquisition of a majority stake in Organa d.o.o., a Slovenia-based producer of plant-based products. Organa specialises in the production of tofu, tofu burgers, seitan, and other vegan products. The transaction was structured as a share deal with a simultaneous increase of Organa’s share capital.

With the acquisition of Organa d.o.o., La Sanfermese expands its offerings in the production of organic food and has expanded its footprint in North and Eastern Europe.

Markus Bruckmüller, Partner at Wolf Theiss commented, “we are happy that we could support La Sanfermese in this acquisition which is of strategic importance for our client who relied on the expertise of our lawyers, particularly in the fields of corporate, employment and regulatory law. We also helped our client to navigate the process of foreign direct investment clearance, a requirement which was introduced in Slovenia in May 2020 in the context of the Covid-19 crisis.”

Under the supervision of Partner Markus Bruckmüller, the following team of lawyers from the Wolf Theiss office in Ljubljana worked on the deal: Tjaša Lahovnik, Counsel (Corporate and Regulatory), Žiga Dolhar, Counsel (Employment), Simon Tecco, Senior Associate (Corporate), Ana Zorn, Associate (Corporate), Iva Šturm, Associate (Corporate), Larisa Primožič, Associate (Data Protection), Matej Kraner, Associate (Corporate).
