Wolf Theiss advises Raiffeisen Bank International AG on a tender offer and the issuance of EUR 750 million Green Subordinated Callable Fixed-to-Fixed Rate Reset Notes

Vienna, 1 September 2026 – Wolf Theiss advised Raiffeisen Bank International AG (“RBI”) on its tender offer for its EUR 500,000,000 Subordinated Callable Fixed-to-Fixed Rate Reset Notes due June 2032 (ISIN: XS2189786226), as well as on the issuance of EUR 750,000,000 Green Subordinated Callable Fixed-to-Fixed Rate Reset Notes due 2037 (ISIN XS3480675597).

The tender offer commenced on 20 August 2026 and was conducted in accordance with the terms and conditions set out in the Tender Offer Memorandum dated the same day. Notes with an aggregate principal amount of EUR 398,700,000 were validly tendered. Settlement took place on 31 August 2026.

In parallel, RBI successfully completed the placement of EUR 750 million Green Subordinated Callable Fixed-to-Fixed Rate Reset Notes with institutional investors and eligible counterparties. The issuance carries an initial coupon of 4.500% per annum. The Notes have a denomination of EUR 100,000 per Note and are listed on the Luxembourg Stock Exchange. Closing took place on 27 August 2026.
