Wolf Theiss advises Hrvatska poštanska banka, dioničko društvo on inaugural EUR 150 million international bond issuance

Zagreb, 16 July 2026 – Wolf Theiss advised Hrvatska poštanska banka, dioničko društvo (“HPB”) on Croatian law matters in connection with its inaugural international bond issuance. The EUR 150 million MREL-eligible bond was successfully settled and listed on the EURO MTF market of the Luxembourg Stock Exchange on 13 July 2026.

HPB is one of Croatia’s leading banking institutions. The transaction marks HPB’s first issuance and listing on the international capital markets and forms part of the bank’s strategy to strengthen its capital structure and meet minimum requirements for own funds and eligible liabilities (MREL) requirements.

The EUR 150 million bond carries a coupon rate of 4.125% and attracted strong demand from investors across the European Union and the United Kingdom.

Wolf Theiss advised HPB as issuer on Croatian law matters in connection with the issuance and listing of the bonds. Working alongside Clifford Chance, which acted as lead counsel to the issuer on English law matters, the Wolf Theiss team assisted HPB’s legal and commercial teams through the issuance and listing process and advised on MREL eligibility.
