Wolf Theiss advises Centaurus Development Group on the acquisition of Romanian technology company DocProcess    

Bucharest, 18 September 2025 – Wolf Theiss advised AGENA3000, part of the French Centaurus Groupa holding company with technology operations in Europe and North America – on the acquisition of DocProcess S.A., a Romanian technology company specialising in digital document management and business process automation. This strategic transaction, involving the 100% acquisition of DocProcess’ share capital from the company’s founders Liviu and Daniela Apolozan, as well as from PE fund Morphosis Capital, was closed on 17 September 2025.

AGENA3000 is a developer of data management software catering to manufacturers, brands and retailers. With its head office located in Cholet, France, the company offers data management optimisation to the mass consumption, transport and logistics, health, fashion, construction materials and distribution sectors. It provides PIM, EDI, e-invoicing, trade promotion management (TPM) as well as data pool and content management products for manufacturers and omnichannel distribution. AGENA 3000 is part of the Centaurus Group.

DocProcess offers a next-generation cloud platform that helps companies streamline and automate processes. It shapes the future of how companies of all sizes run their businesses by enabling them to take control of processes across their entire partner ecosystem and by connecting them digitally with clients, suppliers or financial and logistics partners. Established in 2005, DocProcess has a European footprint, with offices in Romania (Bucharest and Brasov) and France (Paris and Grenoble), an international team and a portfolio of over 3,500 clients, including Carrefour, Cora, Mondelez and Lactalis.

Wolf Theiss Corporate/M&A team, led by Partner Ileana Glodeanu, provided full-scope buy-side legal assistance, including legal due diligence on DocProcess and negotiation of the share purchase agreement and related documentation. The deal also involved Warranty & Indemnity (W&I) Insurance. Wolf Theiss team assisted in negotiating the buy-side policy terms and coordinated with the insurance broker and underwriters to ensure alignment with the transaction documents. Counsel Mihai Coadă, along with Associates Andrei Costea, Vlad Catană and Marius Moldoveanu from the Corporate/M&A team, contributed to the successful completion of the transaction.

Additionally, Wolf Theiss engaged a wider team from several other practice groups, including: Employment lawyers Counsel Andreea Stan and Senior Associate Ioana Iacob, the Data Protection, IP & TMT team with Counsel Flavius Florea, as well as Partner Anca Jurcovan and Associate Claudia Andreescu from the Competition & Antitrust team, who provided regulatory and competition law advice, including coordination with Romanian authorities for foreign investment and antitrust clearance.
