FDI in the waiting room: Ukraine’s screening proposal could rewrite the local playbook

At the end of September, Ukraine introduced a draft law proposing a foreign direct investment (FDI) screening regime aimed at aligning national legislation with EU and US standards. If adopted, the law will significantly affect cross-border transactions involving Ukrainian companies operating in strategic sectors such as defence, critical infrastructure and key minerals. The regime would apply to both direct and indirect acquisitions – potentially including even minor shareholdings – and may impact merger control procedures. Non-compliance could result in severe penalties; post-approval monitoring will be required.
