Inflexion Private Equity Partners to acquire Marioff with legal support from Wolf Theiss
Warsaw, 3 June 2026 – Wolf Theiss advised Inflexion Private Equity Partners, a leading European mid-market private equity firm, on the planned acquisition of Marioff, a global leader in high-pressure water mist fire suppression. The partnership is expected to support further growth across key international markets and strengthen the company’s position as a trusted partner in fire protection.
The investment is being made by Inflexion’s Buyout Fund VI and is the seventh such investment in the Nordic region. The transaction is subject to customary regulatory approvals.
Under Inflexion’s ownership, Marioff will continue to invest in innovation, its global go-to-market capabilities and its aftermarket offering, while maintaining its focus on safety, reliability and compliance. It will support management in accelerating growth in land-based end markets while retaining its market-leading marine customer proposition and further growing aftermarket and service capabilities across the business.
Inflexion has a strong track record in safety-critical and compliance-focused businesses, including its investments in Kee Safety, Noventis Safety, BES, Phenna and Celnor. It will draw on this experience to support Marioff’s continued global growth.
Wolf Theiss, as local counsel, advised on the Polish law aspects of the transaction, including the preparation of a due diligence report, working alongside Avance and Travers Smith as lead counsel.
The team was led by Partner Bartosz Kuraś, supported by Associate Jan Kaźmierczak (both Corporate M&A) and included Counsel Agnieszka Nowak-Błaszczak (Employment).
