Wolf Theiss advises SK Capital LP on the acquisition of Swixx BioPharma Holding AG

Bucharest, Belgrade, Ljubljana, Sarajevo, Sofia, Vienna, Zagreb, 8 January 2025 – Wolf Theiss’ multi-jurisdictional team advised SK Capital LP, a New York-based private investment firm specialised in the life sciences, specialty materials and ingredients sectors, on the acquisition of Swixx BioPharma Holding AG, a leading global full-service partner in the distribution of biopharmaceutical products.

The transaction, signed on 12 December 2025, values Swixx BioPharma at over EUR 1.5 billion and represents a strategic investment by SK Capital to drive the company’s next phase of growth and global expansion.

Wolf Theiss provided comprehensive legal advice to SK Capital across five jurisdictions – Bulgaria, Serbia, Croatia, Slovenia and Bosnia & Herzegovina – in close collaboration with lead counsel Bär & Karrer. The firm´s mandate focused on due diligence of target entities incorporated in relevant jurisdictions. In Bosnia & Herzegovina, Wolf Theiss acted in cooperation with Law Office Naida Čustović.
