Wolf Theiss advises RBHR on its tender offer and EUR 300 million ordinary senior eligible notes issuance

Vienna, 26 May 2025 – Wolf Theiss provided comprehensive legal advice to Raiffeisenbank Austria d.d. (“RBHR”) in relation to (i) its invitation to existing holders of its outstanding EUR 300,000,000 7.875% Ordinary Senior Eligible Notes due 2027 (ISIN: XS2630490394) to tender such notes for purchase by RBHR; as well as in relation to (ii) its role as issuer of EUR 300,000,000 3.625% Ordinary Senior Eligible Notes due 2029 (ISIN: XS3076190324).

The tender offer commenced on 13 May 2025 and was made on the terms and subject to the conditions set out in the tender offer memorandum dated the same day. Notes in the amount of EUR 99,900,000 were validly tendered. Settlement of the tender offer took place on 23 May 2025.

The EUR 300 million Ordinary Senior Eligible Notes have a maturity of four years and were placed with professional clients and eligible counterparties, carrying an initial coupon of 3.625% per annum. Each note is denominated at EUR 100,000 and they are admitted to trading on the regulated market of the Luxembourg Stock Exchange. Signing occurred on 19 May 2025 and closing took place on 21 May 2025.

The international banking consortium was advised by Linklaters LLP.

An international team from Wolf Theiss advised RBHR on European and Croatian law aspects of the tender offer and the new issuance.
