Wolf Theiss advises K1 Investment Management on its acquisition of SINGU
Warsaw, 7 August 2025 – Wolf Theiss advised K1 Investment Management LLC (“K1”), one of the largest investors in small-cap enterprise software companies, on the acquisition of European-based real estate management software provider ‘SINGU’, formerly Velis RET, from the Luxembourg search fund Global Property Technology Holding.
K1’s investment in Velis RET has led to a strategic combination of the target with Micad, a European-based real estate management software provider. The investment reflects commitment to scaling vertical software leaders through hands-on operational support, strategic M&A and long-term partnerships with management teams. K1 will support the combined entity’s organic growth and acquisition strategy to deepen product capabilities and accelerate expansion across Europe.
Kirkland & Ellis acted as lead counsel to K1, while the Wolf Theiss team was responsible for the Polish aspects of the transaction. The team’s role included a due diligence review, advising on the transaction documentation and managing the cross-border closing of the deal.
The transaction team in Poland was led by Partners Krzysztof Libiszewski and Katarzyna Wójcik-Bąkowska who were supported by Senior Associates Katarzyna Jaroszyńska-Lewandowska and Bartosz Lewandowski (all Corporate M&A).
