Wolf Theiss advises ERGO on sale of Czech legal protection insurance branch to Generali Česká pojišťovna

Vienna/Prague, 27 November 2025 – ERGO Versicherung Aktiengesellschaft has agreed to sell its Czech legal protection insurance branch (D.A.S. právní ochrana) to Generali Česká pojišťovna. Wolf Theiss advised ERGO on the transaction, which covers the transfer of the Czech legal protection insurance portfolio, the operations of the branch, as well as all employees and agents. Completion is expected in the first half of 2026, subject to regulatory and competition clearance.

The transaction was structured as an asset deal and conducted through a limited, accelerated auction process. It involves the transfer of the Czech legal protection insurance portfolio, business operations and personnel to Generali Česká pojišťovna, a leading insurance provider in the Czech Republic.

“This transaction required coordinated guidance across insurance regulatory, transactional and employment matters and was special insofar as the sale took place in the form of an asset deal. Our team supported ERGO throughout the accelerated process, ensuring a secure and efficient structure for the transfer.” – Richard Wolf, Partner.

Wolf Theiss advised ERGO Versicherung Aktiengesellschaft with a cross-practice team led by Partner Richard Wolf and Counsel Tereza Naucova, supported by Senior Associate Filip Michalec, Consultant Dita Sulcova and Associates Georg Wimmer and Jakub Bystron.
