Wolf Theiss advises Embron Group on cross-border acquisition of Norautron by Norvestor

Warsaw, 22 October 2025 – Wolf Theiss acted as local counsel to Embron Group AS on signing the agreement to sell Norautron, a high-end specialty electronics manufacturing services (“EMS”) company, to Norvestor, a leading private equity firm focusing on mid-market buyouts in the Nordic region. The acquisition supports Norvestor’s strategy to expand its footprint and strengthen its capacity and capabilities.

Wolf Theiss provided comprehensive legal support across all aspects of the transaction in Poland. The Broch family, through Embron, will remain a minority shareholder following completion. The transaction is subject to customary approvals from relevant competition authorities and is expected to be completed no later than January 2026.

The transaction was executed in close collaboration with Advokatfirmaet Haavind AS, one of Norway’s leading law firms, which acted as lead counsel to Embron Group AS.

The Wolf Theiss team was led by Partners Bartosz Kuraś and Maciej A. Szewczyk, supported by Associate Jan Kaźmierczak (all Corporate/M&A).

Embron Group is a family-owned investment company, wholly owned by the Broch family.

Norautron is a long-standing and trusted partner to blue-chip companies across the Nordics, Europe, Asia-Pacific and the US, with prototyping and manufacturing facilities in Norway, Sweden, Poland, China and Malaysia. In 2024, Norautron reported revenues of approximately NOK 2.5 billion and employs more than 1,000 people across six offices and manufacturing sites.
