Corporate Governance 2025 – Poland

The Poland chapter of ICLG Corporate Governance 2025, co-authored by Krzysztof Libiszewski, Maciej Olszewski, Pawel Szumowski and Joanna Jagiello, provides a practical and up-to-date overview of the country’s corporate governance landscape. This chapter offers insights into the legal and regulatory framework governing Polish corporate entities with a focus on limited liability and joint-stock companies, as well as shareholder rights and responsibilities, management board structures, supervisory board oversight, transparency obligations and corporate social responsibility. The chapter addresses the increasing role of EU directives and ESG-related reporting, the impact of short-termism on strategic planning and the evolving compliance burden faced by Polish companies.

With developments in areas such as cybersecurity, beneficial ownership disclosure and shareholder engagement, the chapter also outlines both ongoing challenges and emerging trends in governance. Prepared as part of a global comparative guide, the publication provides essential guidance for legal practitioners, corporate leaders and investors considering operating within the Polish regulatory environment.

This chapter was originally published on 29 July in the 2025 edition of ICLG – Corporate Governance.
