2025 ABA European private target M&A deal points study

The 2025 edition of the European private target M&A deal points study, a project of the ABA’s Mergers & Acquisitions Committee, is a comprehensive study that analyses private target share purchase agreements across Europe, covering transactions signed or closed in 2022 and 2023 with a value of at least EUR 15 million. Drawing on anonymised data provided by leading law firms across multiple jurisdictions, including Poland, the study identifies market trends in M&A terms, with comparative analysis of European and U.S. practices.

Topics covered include purchase price mechanisms, pervasive qualifiers, representations and warranties, covenants, indemnification provisions, dispute resolution and closing conditions. The report offers valuable benchmarking data for M&A professionals, in-house counsel and legal advisors involved in cross-border deals.
