POLAND: CORONAVIRUS EMERGENCY BILL UPDATES REGARDING CORPORATE LAW AND REPORTING DEADLINES

Poland – The COVID-19 emergency bill was adopted by Sejm in a final version on 31.03.2020. The new regulation introduces methods for communicating remotely during management board, supervisory board and shareholders' meetings. It also implements changes on adoption of resolutions.

The Polish government adopted an amendment to coronavirus emergency bill, which among others, introduces interesting changes regarding company law and extends reporting deadlines. In particular, the bill facilitates adoption of circular or virtual resolutions of companies' internal bodies without the necessity of implementing any specific provisions into entities' articles of association.
