Infrastructure & Energy

You may have grown so used to the current climate of economic uncertainty that you take it for granted that your project will face nearly unsurmountable hurdles in securing investment. Amid such uncertainty, efficiency in procurement and project delivery is your most valuable asset. In the Projects team at Wolf Theiss, we build true partnerships with clients to help them develop infrastructure projects throughout the project life cycle. We can help you with project structuring and regulatory/licensing issues, drafting and negotiating project agreements and finance documents, and acquiring or disposing of an existing project.

We work where public authorities, private investment and finance intersect. Your industry and business goals determine the team and strategy we implement. We have specific insights in sectors such as oil and gas, power generation, transmission and distribution, transportation, social infrastructure, hospitality, tourism and leisure, telecommunications, media and technology, water and waste management and more.

Despite the complications in the global economy, CEE/SEE is experiencing unprecedented levels of activity in projects aimed at modernising public and social infrastructure. We stand ready to deploy our local legal expertise and regional contacts to help you negotiate the complex jurisdictional, regulatory, financing and construction issues that arise in infrastructure projects or in public-private partnerships.

When you think Wolf Theiss Projects, think cross-border. We can provide you with a single point of contact for any transaction in the CEE/SEE region. We concentrate our practice on three main areas: infrastructure, renewable energy and conventional energy related work. Experienced partners who have a long track-record of delivery manage each practice area.

Development and Structuring

We partner with you and your business to advise on any kind of infrastructure and energy projects (green- or brownfield) from conception to success. This includes structuring advice, public procurement issues, PPP/concession contracts, management and development agreements, tax benefits, environmental reviews, permitting and compliance matters and cross-border investment issues.

Finance

Each project calls for a customised financing solution. We can help you look into anything from traditional LMA acquisition and project finance structures, to different forms of structured finance and debt restructuring techniques such as project bonds, monetisation of revenue streams, securitisations, and derivatives products.

Regulatory

Our team advises our clients on all environmental, permitting and licensing issues dealing with the construction and operation of energy and infrastructure assets, including unbundling aspects and compliance with market rules. Our contacts with relevant authorities and regulators become your strengths as we guide our clients through the labyrinth of administrative proceedings.

Commercial Contracts

We provide advice on commercial agreements specific to your industry. This includes EPC/O&M contracts, PPP/concession contracts, and supply and off-take agreements. We can advise you on shipping, logistics, agency, distribution, sales, outsourcing and offshoring arrangements, too.

Dispute Resolution

Legal challenges, litigation and arbitration can frequently be a risk to energy and infrastructure projects. Our goal is to reduce this danger to a minor annoyance. We represent various sectors not only in domestic litigation before national courts, but also in domestic and international arbitration proceedings under all the major rules, such as ICSID, ICC and UNCITRAL. This extends to both commercial and investment disputes, such as those falling under bilateral investment treaties or the Energy Charter Treaty.

M&A and Corporate

As you can tell by now, a successful Projects lawyer is much more than just a Projects lawyer. Our team also has the experience you need for private and public M&A transactions, including advice on regulatory aspects, structuring issues, due diligence, drafting, negotiating and implementing sales or acquisition agreements and related pre-closing and post-closing restructuring work. We can represent you in the ins and outs of takeover, merger control and securities laws so you can focus on getting your project off the ground.
