WOLF THEISS Bulgaria advised STS Medical Group on the acquisition of Luigi Salvadori S.P.A.`s Bulgarian entity, Salvamed AD, and on the establishment of one of the most tech-advanced production hubs for medical devices in Europe.

STS Medical Group, one of the main European players in the medical device industry with a consolidated turnover of over EUR 65 million in 2014, acquires Luigi Salvadori S.P.A., and Italian company operating in the medical gauze and surgery kits market.

STS Medical Group was established in 2012 under the lead of Augusto Orsini, an executive with an impressive experience of over 25 years in the medical devices industry, and Monitor Clipper Partners, a Zurich-Boston-based independent private equity formed in 1998. In the past years, Monitor Clipper Partners has invested approximately USD 2 billion in more than 40 businesses across Europe and North America mostly focusing on partnership with mid-market opportunities.

Wolf Theiss advised STS Medical Group on the acquisition of Salvamed AD, the Bulgarian entity of Luigi Salvadori S.P.A. Partner Katerina Kraeva and Senior Associates Rebeka Kleytman and Julia Haralampieva advised on all corporate, regulatory, and employment issues related to the transaction, including the post-closing restructuring. Wolf Theiss` Sofia team was selected for its top-ranked M&A practice and regulatory expertise.

According to Augusto Orsini, CEO of STS Medical Group, "The transaction represents an important step for the development of STS Medical Group in Europe, with a twofold strategic value: first, it enables STS Medical Group to enter directly the Italian market of medical gauzes and surgical customized procedural kits (CPTs), where Luigi Salvadori historically enjoys a position of leadership, an important market share and a capillary distribution network. Second, it enhances our production capacity in Sandanski, Bulgaria, where STS Medical Group now benefits from one of the largest and most technologically advanced production hubs for medical devices in Eastern Europe with 900 employees".

Wolf Theiss partnered with the Italian law firms CP – DL Capolino PerlingierI & Leone and Fantozzi & Associati Studio Legale e Tributario, the Italian branch of Alvarez & Marsal and the Luxembourg law firm MNKS.

Advising the Italian-based STS Medical Group has further reinforced Wolf Theiss` position as the preferred legal advisor for Italian clients. In addition to our most recent experience, our team has gained a valuable member with Italian expertise to further strengthen and support Italian businesses across the region. Frank Diemer, who joined Wolf Theiss as a partner our Sofia office, is an Italian qualified lawyer practicing for many years with Italian law firms, including the international law firm Freshfields in Milan. Frank is already strategically supporting Italian investors and their advisors with CEE/SEE opportunities and his work is noticed by Italian law firms and their inbound clients who see his clear and pragmatic legal advice as true added value, whether they are making first time investments or expanding upon existing ones.
